Not legal advice — have your counsel review it before you use it.
What's in it
- The promise: the owner personally guarantees what the store owes you for goods sold on credit.
- An optional cap: a maximum amount, or no cap.
- How it works: you can ask the guarantor to pay without collecting from the store first, and the guaranty continues as terms change.
- Ending it: written notice ends it for future orders; orders already shipped stay covered.
- Signatures: the guarantor, plus a witness or notary line if your counsel wants one.
How to use it
- Ask for it with the credit application, before the first order on terms.
- Get it signed by an owner, in their own name, not as an officer of the company.
- Have your counsel confirm the form works in your state, including any witness, notary or spousal-consent requirement.
- Keep the signed original with the account file.
A guaranty is the backstop. The everyday work is still getting invoices paid on time, which is what ShelfSpace collections handles for brands.
